You must notify Leadbase promptly if you believe your account has been compromised or accessed without authorization.

Leadbase may temporarily restrict an account where necessary to protect the account, other users, third parties, or the service.

6. Lead Discovery and Business Information

Leadbase may help users discover companies and publicly available business information from external sources.

Information displayed through Leadbase may be:

  • incomplete,

  • inaccurate,

  • outdated,

  • unavailable,

  • or incorrectly associated with a business or person.

You are responsible for verifying important information before relying on it.

Leadbase does not guarantee that:

  • a business is an appropriate prospect,

  • a contact person is responsible for a particular decision,

  • an email address is current,

  • or a company is interested in your services.

The availability of contact information through Leadbase does not constitute consent to receive marketing communications.

7. Outreach and Marketing Compliance

You are solely responsible for messages you send using Leadbase.

You must ensure that your outreach complies with all laws applicable to:

  • you,

  • the recipient,

  • the communication channel,

  • and the countries involved.

This may include laws relating to:

  • privacy,

  • electronic communications,

  • advertising,

  • direct marketing,

  • spam,

  • competition law,

  • and data protection.

Leadbase does not represent that a discovered email address may lawfully be used for unsolicited marketing.

The fact that an email address or contact is publicly available or visible through Leadbase does not mean that the recipient has consented to receive marketing.

You are responsible for determining whether each message is lawful before sending it.

Where required by law, you are responsible for providing:

  • required sender information,

  • required disclosures,

  • opt-out mechanisms,

  • and honoring objections or unsubscribe requests.

You may not use Leadbase to send:

  • spam,

  • phishing messages,

  • fraudulent messages,

  • deceptive communications,

  • harassment,

  • abusive content,

  • or unlawful marketing.

Leadbase may limit, pause, or block sending activity to protect users, infrastructure, third-party providers, or the reputation of the service.

8. Website Analysis

Leadbase may analyze publicly accessible websites and produce findings relating to:

  • website performance,

  • technical implementation,

  • accessibility,

  • mobile experience,

  • metadata,

  • public website content,

  • design,

  • usability,

  • or business presentation.

Analysis results are provided for informational purposes.

Leadbase does not guarantee that a finding is complete, correct, or applicable in every circumstance.

Users should independently verify important findings before relying on or presenting them to another person.

9. Artificial Intelligence

Leadbase uses artificial intelligence for certain features.

AI-assisted functionality may include:

  • website analysis,

  • research,

  • summaries,

  • outreach drafts,

  • subject lines,

  • proposals,

  • follow-ups,

  • design concepts,

  • copy,

  • and other generated content.

AI output may contain:

  • inaccuracies,

  • omissions,

  • inappropriate suggestions,

  • invented information,

  • or material that is unsuitable for a particular use.

You are responsible for reviewing AI-generated content before sending, publishing, presenting, or relying on it.

Leadbase does not guarantee that AI-generated content is:

  • accurate,

  • original,

  • complete,

  • error-free,

  • legally compliant,

  • or free from third-party rights.

Leadbase is a tool that assists the user. The user remains responsible for the final professional work and decisions made using the service.

10. Connected Accounts

Leadbase may allow you to connect third-party services such as Google or Gmail.

By connecting a third-party account, you authorize Leadbase to access the information and permissions necessary to provide the selected functionality.

You remain responsible for complying with the terms applicable to the connected third-party account.

You may disconnect supported integrations where Leadbase provides that functionality.

Third-party providers may independently restrict, revoke, or modify access to their services.

11. Third-Party Services

Leadbase relies on external providers for parts of its functionality.

These may include providers for:

  • hosting,

  • databases,

  • authentication,

  • email,

  • artificial intelligence,

  • payment processing,

  • website analysis,

  • APIs,

  • infrastructure,

  • and other technical services.

Leadbase is not responsible for interruptions or failures caused solely by third-party services outside Leadbase's reasonable control.

Third-party functionality may change or become unavailable.

12. Plans and Subscriptions

Leadbase may offer:

  • a Free plan,

  • paid subscription plans,

  • different Credit tiers,

  • promotional access,

  • and separately purchased Credits.

Features, usage limits, and Credits depend on the plan selected.

Paid subscriptions are billed using the billing interval displayed at checkout.

Unless explicitly stated otherwise, paid subscriptions automatically renew at the end of each billing period until canceled.

The current price, plan, Credit allowance, and billing interval are displayed before purchase.

13. Credits

Certain Leadbase actions consume Credits.

The number of Credits required may depend on:

  • the feature,

  • AI model,

  • processing requirements,

  • infrastructure usage,

  • or complexity of the operation.

Credit costs may be adjusted where underlying service or infrastructure costs materially change.

Included Subscription Credits

Credits included with a subscription may reset at the beginning of the next applicable billing period.

Unless explicitly stated otherwise, unused recurring subscription Credits do not roll over.

Purchased Credits

Credits purchased separately from a subscription do not expire while the Leadbase account remains active.

Purchased Credits are separate from recurring subscription Credits.

Credits:

  • have no cash value,

  • cannot be redeemed for cash,

  • cannot normally be transferred to another account,

  • and are intended solely for use within Leadbase.

14. Payments

Payments may be processed by Stripe or another payment provider made available by Leadbase.

You agree to provide accurate billing information.

By purchasing a paid subscription or Credits, you authorize the applicable payment provider to charge the selected payment method.

Paid functionality may be restricted if:

  • a payment fails,

  • a payment is reversed,

  • a chargeback occurs,

  • or an invoice remains unpaid.

Taxes may be added or handled where legally required.

15. Cancellation

You may cancel an eligible Leadbase subscription through the billing or account functionality provided by Leadbase.

Unless otherwise stated during cancellation, cancellation prevents the subscription from renewing at the end of the current billing period.

Paid functionality may remain available until the end of the already-paid billing period.

Canceling a subscription does not automatically delete your Leadbase account.

16. Refunds

Except where required by applicable law or explicitly agreed otherwise, subscription payments, Credits, and other digital services are generally non-refundable after the relevant service, subscription period, or Credits have been made available.

If you believe you have been charged incorrectly, contact:

support@leadbase.tech

Any mandatory rights that cannot legally be excluded remain unaffected.

17. Free Accounts and Promotional Access

Leadbase may provide free plans, promotional Credits, trials, discounts, or temporary access.

Such access may:

  • contain additional limitations,

  • expire,

  • be changed,

  • be discontinued,

  • or be limited to one account per person or business.

Creating multiple accounts for the purpose of intentionally bypassing Free-plan or usage restrictions is prohibited.

18. User Content

You retain ownership of information and content that you provide to Leadbase.

This may include:

  • brand assets,

  • lead information,

  • notes,

  • prompts,

  • drafts,

  • client information,

  • proposals,

  • uploaded files,

  • and other user-provided content.

You grant Leadbase the limited rights necessary to host, process, transform, transmit, and otherwise use that content solely as required to provide and operate the service.

You are responsible for ensuring that you have the right to provide and process the content you upload.

19. Intellectual Property

Leadbase, including its:

  • software,

  • application interface,

  • branding,

  • logos,

  • graphics,

  • documentation,

is protected by applicable intellectual property laws.

Except where permitted by law, you may not:

  • copy Leadbase,

  • redistribute the service,

  • resell unauthorized access,

  • reverse engineer protected parts of the software,

  • interfere with the service,

  • or use Leadbase intellectual property without permission.

Third-party trademarks and materials remain the property of their respective owners.

20. Acceptable Use

You may not use Leadbase to:

  • violate applicable law,

  • send spam,

  • send phishing messages,

  • commit fraud,

  • impersonate another person or company,

  • harass or threaten others,

  • distribute malware,

  • gain unauthorized access to systems,

  • bypass security measures,

  • bypass account or Credit restrictions,

  • intentionally abuse third-party APIs,

  • intentionally generate excessive infrastructure or AI costs,

  • overload the service,

  • scrape Leadbase without authorization,

  • infringe third-party rights,

  • or use the platform in a way that creates unreasonable security or legal risk.

21. Suspension and Termination

Leadbase may restrict, suspend, or terminate access where reasonably necessary because of:

  • a material violation of these Terms,

  • fraud,

  • abuse,

  • unlawful activity,

  • security risks,

  • unpaid invoices,

  • payment fraud,

  • attempts to bypass technical restrictions,

  • or conduct that threatens the service or third parties.

Where reasonably possible and appropriate, users may be given an opportunity to remedy a violation before permanent termination.

Immediate action may be taken where necessary for security, legal compliance, fraud prevention, or protection of third parties.

22. Account Deletion

Users may delete or request deletion of their Leadbase account through the account deletion functionality provided by Leadbase.

Account deletion is available at:

https://app.leadbase.tech/account/delete

Certain records may continue to be retained where required for:

  • legal obligations,

  • tax or accounting requirements,

  • fraud prevention,

  • security,

  • disputes,

  • or enforcement of legal claims.

Account deletion may permanently remove access to associated data and functionality.

23. No Guarantee of Business Results

Leadbase is designed to support client acquisition workflows.

Leadbase does not guarantee:

  • leads,

  • replies,

  • positive responses,

  • meetings,

  • conversions,

  • proposals being accepted,

  • clients,

  • contracts,

  • revenue,

  • profit,

  • or business growth.

Results depend on factors outside Leadbase's control, including:

  • the user's services,

  • offer,

  • pricing,

  • market,

  • communication,

  • positioning,

  • execution,

  • and the decisions of third parties.

24. Availability

Leadbase aims to provide a reliable service, but uninterrupted availability cannot be guaranteed.

The service may be unavailable because of:

  • maintenance,

  • updates,

  • infrastructure failures,

  • third-party outages,

  • technical problems,

  • security incidents,

  • force majeure,

  • or other circumstances outside reasonable control.

Unless expressly agreed otherwise in writing, Leadbase does not provide a guaranteed service level or uptime commitment.

25. Liability

Leadbase is liable without limitation where liability is mandatory under applicable law, including where applicable for:

  • intent,

  • gross negligence,

  • injury to life, body, or health,

  • and liability that cannot lawfully be excluded or limited.

For ordinary negligence, liability may be limited to breaches of material contractual obligations and to damage that was reasonably foreseeable when the agreement was entered into, to the extent permitted by law.

Leadbase is not responsible for losses caused solely by:

  • inaccurate information provided by users,

  • unlawful outreach performed by users,

  • decisions made based on unverified AI output,

  • third-party services outside Leadbase's reasonable control,

  • or misuse of the service.

Mandatory statutory liability remains unaffected.

26. Privacy

Personal data is processed in accordance with the Leadbase Privacy Policy.

Users are responsible for ensuring that personal data they upload or process through Leadbase is handled lawfully.

Where Leadbase processes personal data on behalf of a business user, additional data protection obligations may apply.

27. Changes to Leadbase

Leadbase may develop, improve, replace, modify, or discontinue individual features.

Changes may be necessary because of:

  • technical requirements,

  • security,

  • legal requirements,

  • third-party providers,

  • user feedback,

  • or product development.

Material changes that significantly affect paid users will be communicated where appropriate.

28. Changes to These Terms

These Terms may be updated where reasonably necessary because of:

  • new features,

  • changes to Leadbase,

The current version and effective date will be published on the Leadbase website.

Where required, material changes may also be communicated by email or through the application.

29. Governing Law

These Terms are governed by the laws of the Federal Republic of Germany, excluding conflict-of-law rules and the United Nations Convention on Contracts for the International Sale of Goods, to the extent legally permissible.

Mandatory statutory provisions remain unaffected.

Where the user is a merchant, legal entity under public law, or special fund under public law, the legally permissible place of jurisdiction shall be determined in accordance with applicable German law.

30. Severability

If an individual provision of these Terms is invalid or unenforceable, the validity of the remaining provisions is not affected to the extent permitted by law.
